Foodari Direct Terms and Conditions

These terms and conditions do not affect your statutory rights.

General

Foodari Direct is owned by Foodari Ltd, a company with its registered address at 11, Franche Court Road, London, SW17 0JX. All web services are provided to you free of charge subject to these Terms and Conditions and by using this website you agree to be bound by these terms and conditions.

Account & Security

To become a customer of Foodari Direct you must create an account with us and provide us with correct and complete details. If these details change at anytime then you must update your account in the Account area before ordering any further goods. You must be over 18 years of age.

When you register to use the Foodari Direct you will be asked to create a password which you must keep confidential and must not disclose it or share with anyone. You will be responsible for all activities and orders that occur or are submitted under your password, if you know or suspect that someone else knows your password you should notify us and change it immediately. If Foodari believes there may be a breach of security we may require you to change your password or we may change it for you.

Payment

You will be required to pay for goods and services ordered through Foodari Direct by credit or debit card through our Secure Trading Account.

The personal and payment details you give to us are governed by a strict privacy policy, please read this document in conjunction with these terms and conditions.

All payments for orders must be paid using a debit or credit card when making an order. We do not accept any other form of payment.

Your credit card and payment details will not be held on our system. You will be asked to enter your card details every time you make a transaction. These card details will be handled entirely by Secure Trading. Whilst we take security extremely seriously we accept no liability for misuse of card details amounting from the use of Foodari Direct.

We reserve the right to terminate our agreement with you if we are refused authority from your card issuer for payment or we reasonably believe that payment will be refused.

If a payment has been rejected by your bank, you will not be able to amend, cancel or add to your orders via our website. Your order will be erased unless you can supply an operational card, with full authorisation.

Your bank will be asked for payment within 72 hours of completing your online transaction.

Orders

You must be over the age of 18 to purchase alcohol though Foodari Direct and if you cannot receive it when we deliver it is your responsibility to endure there is a suitable recipient available.

You may submit orders by using our online ordering facility at any time after you have created an account. Foodari Direct allows you to review your order and make any corrections before submitting it to us and by submitting the order you confirm that you have made any such corrections. Each product for which you click ‘Add to basket’ is added to a ‘shopping basket’ facility. You are given the opportunity to review the quantity and delivery date of each item in your shopping basket when you choose to ‘checkout’. You can change these, or cancel the purchase of the product completely, at this stage, or at anytime before by clicking “review basket”.  Once you have clicked into the checkout you will be asked to supply card details for electronic payment of your order. Once payment has been taken you may review your order within Your Account but you may not make any changes to it.

Your submission of an order amounts to an offer to enter a contract to buy the products from us; you cannot then withdraw or cancel your order.

No order is accepted from you until our website displays an order confirmation page displaying that your order has been successful. This message is displayed after you click your card transaction has been successful.

Where we accept an order, we do all that we can to ensure that your order is fulfilled; products are, however, subject to availability and market conditions and we do not always know if a product is or will be available at the time of accepting an order. If we are unable to deliver an item you have ordered, we may offer a reasonable substitute or reimburse your card for the due amount. You may reject that substitute, and you will not be charged for it, or, if you have paid already, we will refund any amount paid for it. We bear no liability for unavailability of products.

You are entitled to cancel a payment for products where fraudulent use has been made of your payment card by a person not acting, or to be treated as acting, as your agent. If you have made a payment where your payment card has been so fraudulently used, then you should approach your card issuer for re-credit to your card.

Prices

All products offered by us are subject to occasional change in price. This is particularly likely with fruit and vegetable items which are subject to seasonal changes in supply levels and supply prices. Foodari will endeavour to warn you of any changes to the price or availability of items in our range. However, we reserve the right to change our prices and products without notice to reflect such changes. Current prices will always be shown in the catalogue section of our website. We will charge you the price that is displayed on the website and will be inclusive of any applicable VAT.

Some of our products are priced by weight. The guide weight and associated price are for guidance only; the weight you receive may be different but will not be less than the guidance weight. If the weight is less than the guidance weight on request we will reimburse you the difference.

Our products are not for re-sale.

Delivery

We will make delivery to the delivery address you state when setting up an account or making an order. We reserve the right not to deliver to all locations. You are responsible for making suitable arrangements to receive your delivery and giving us appropriate instructions when making the order. In the event that your delivery is stolen from your doorstep or damaged while there, we do not accept liability, and will offer compensation at our discretion. We reserve the right to refuse to accept orders from any customer; considerations of delivery problems may give rise to such a refusal.

We endeavour to keep your delivery day the same, but we reserve the right to change it temporarily or permanently and will tell you if we do so.

If we are unable to deliver to you, or have to deliver late, for reasons beyond our control, for example adverse weather conditions, strike actions, vehicle breakdown, traffic congestion or supplier failure, we cannot accept liability for any inconvenience or loss that this causes. We will reimburse you for goods which are not delivered to you.

We will not charge you for incorrect products (products that you have not ordered and which are not reasonable substitutes for those products) or products which we have not delivered in accordance with these Terms and Conditions. Otherwise our liability is limited to the price of the incorrect products or the products not so delivered subject as provided in paragraph 14.

You must inspect the products as soon as possible after delivery and notify us promptly if you find any defects, by calling us, emailing us or writing to us at the telephone number or address shown on our website. We will replace or refund you for defective products.

Intellectual Property and Copyright

All the materials available on Foodari Direct are the property of Foodari Ltd, and are protected by copyright, except when acknowledged to be the work of other parties. The Site is provided solely for your personal use. You may not use Foodari or the materials available on the Site in a manner that constitutes an infringement of our rights or that has not been authorized by us. Moreover, unless explicitly authorised in these Terms of Service or by the owner of the materials, you may not modify, reproduce, copy, republish, post, translate, create derivative works, sell, or distribute in any manner or medium (including any electronic or non-electronic means) any material from the Site for gain or otherwise. Permission is granted to electronically copy and to print in hard copy portions of this site for personal and private use as an informational resource provided that ALL copies retain the copyright and any other proprietary notices contained on the materials.

Termination

We reserve the right to terminate your right to use or access to Foodari at any time without notice. If your rights to access the Site have been terminated you are no longer authorized to be a User of the Site or use it in any capacity.

You can cancel your registration with us at any time by informing us in writing. If you do so, you must stop using Foodari Direct.

The suspension or cancellation of your registration shall not affect either party's rights or liabilities accrued to the date of termination or any orders submitted by you before we received notice of your cancellation, and you will continue to be bound by such orders.

All other provisions of these Terms and Conditions shall survive cancellation.

Foodari Direct is provided “as is” without any warranties or guarantees save those set out in these Terms and Conditions.

Liability

Under no circumstances including but not limited to negligence, shall we be liable for any direct, indirect, incidental, special or consequential damages that result from the use of, or the inability to use Foodari, including its materials or services made available through this site. You acknowledge and agree that we are not liable for any offensive, defamatory or illegal conduct of any user. If you are dissatisfied with the site or with and of the terms and conditions in this agreement, your only remedy is to discontinue use of it.

Foodari tries to ensure that material included on the Foodari direct is correct, reputable and of high quality, we cannot accept responsibility if, despite our endeavours, this is not the case. Foodari will not be responsible for any errors or omissions or for the results obtained from the use of such information or for any technical problems you may experience. Foodari will endeavour to change any such inaccuracies as soon as it is made aware.

By creating an account with Foodari Direct you agree that we hold no liability for any loss of revenue, loss of profits, loss of anticipated savings, loss of business or wasted expenditure (whether direct, consequential, incidental or indirect); consequential or incidental or indirect damages or any other loss or damages whatsoever that arise out of or are related to Foodari Direct.

We accept not liability for the loss of personal data.

We shall not be liable for any delay or failure in the performance of our obligations due to events beyond our reasonable control such as but not limited to fire, flood, adverse weather, acts of God, strikes, labour disputes, riots, civil unrest, accident, disruption to energy supplies, equipment or supplier failure, road traffic problems, terrorism or war.

Foodari Direct may include links to other websites or material which are beyond its control and therefore Foodari accepts no liability for their content.

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and The English courts will have non-exclusive jurisdiction over any disputes arising under or in relation to these Terms and Conditions.
